These Terms of Service (“Terms”) govern access to and use of software products, extensions, services, documentation, and related materials (“Products”) provided by Shivyn (“we”, “us”, “our”).

By purchasing, downloading, installing, accessing, or using any Product, you agree to be bound by:

1. Scope of Services

Shivyn provides digital software products intended to assist merchants, developers, and agencies in configuring, automating, or extending functionality within their e-commerce platforms.

All Products are provided as software tools only. Business decisions, store operations, and outcomes remain the sole responsibility of the customer.

 
2. Disclaimer of Warranties

All Products are provided “as is” and “as available”, without warranties of any kind, whether express or implied.

Shivyn expressly disclaims all warranties, including but not limited to:

  • Merchantability

  • Fitness for a particular purpose

  • Accuracy, reliability, or completeness

  • Non-infringement

  • Error-free or uninterrupted operation

We do not warrant that Products will meet your business requirements or expectations.

 
3. No Business Outcome Guarantee

Shivyn Products provide rule-based, configurable, decision-support mechanisms only.

We do not guarantee:

  • Reduction in losses, fraud, or chargebacks

  • Improvement in revenue or conversion

  • Prevention of operational or financial impact

  • Any specific business outcome

All results depend on customer configuration, data quality, operational practices, and external factors.

 
4. Limitation of Liability

To the maximum extent permitted by applicable law:

Shivyn shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of revenue or profits

  • Business interruption

  • Loss of data

  • Loss arising from misconfiguration or misuse

Shivyn’s total cumulative liability, under any circumstances, shall not exceed the amount paid by the customer for the Product in the twelve (12) months preceding the claim.

 
5. Indemnification

You agree to indemnify, defend, and hold harmless Shivyn from any claims, damages, losses, liabilities, or expenses arising from:

  • Your use or misuse of the Products

  • Violation of these Terms

  • Violation of applicable laws

  • Third-party claims related to your store, data, or customers

 
6. Intellectual Property

All Products, code, documentation, trademarks, and materials are the exclusive intellectual property of Shivyn.

No ownership rights are transferred. Usage is governed strictly by the License Policy.

 
7. Termination

Shivyn reserves the right to suspend or terminate access to Products in case of:

  • License violations

  • Abuse or misuse

  • Unauthorized redistribution

Termination does not entitle the customer to refunds.

 
8. Force Majeure

Shivyn shall not be liable for failure or delay caused by events beyond reasonable control, including natural disasters, internet outages, hosting failures, governmental actions, or third-party service disruptions.

 
9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

All disputes shall be subject to the exclusive jurisdiction of courts located in India.
